1. About these Terms
1.1 These Terms govern your access to and use of the HerLyfe mobile application and any related paid features, subscriptions, export tools, notifications, and support services (together, the Service).
1.2 By creating an account, tapping an acceptance button, buying a subscription, or using the Service, you agree to these Terms and our Privacy Policy.
1.3 If you do not agree to these Terms, you must not use the Service.
1.4 If these Terms and the Privacy Policy conflict on a privacy matter, the Privacy Policy prevails.
1.5 Your download and use of the app are also subject to the terms, rules, and policies of Apple App Store or Google Play, as applicable.
2. Eligibility and Accounts
2.1 You must be at least 18 years old and legally capable of entering into a binding contract to use the Service.
2.2 You must provide accurate, current, and complete information and keep it up to date.
2.3 Your account is personal to you. You must not share it, transfer it, or let anyone else use it.
2.4 You are responsible for keeping your login details secure and for all activity carried out through your account. You must tell us promptly at support@herlyfe.com if you believe your account has been accessed without permission.
2.5 We may ask for information reasonably necessary to verify your eligibility, protect the Service, or investigate misuse.
2.6 We may suspend or close your account if we reasonably believe that you are under 18, prohibited from using the Service by law, or in material breach of these Terms.
3. What HerLyfe Is, and Is Not
3.1 HerLyfe is a personal wellness self-observation tool. It lets you create experiments, log check-ins, and view summaries based on the information you choose to enter.
3.2 The Service is not medical advice, a medical device, a diagnostic tool, a treatment service, or a substitute for a qualified healthcare professional. Any summaries, prompts, scores, or “Clarity” outputs are generated from the information you log and do not represent clinical findings, diagnoses, prognoses, or treatment recommendations.
3.3 Do not use the Service to diagnose or treat any condition, to make decisions about medication or other medical treatment, or to deal with an emergency.
3.4 If you have any health concern, seek advice from a qualified healthcare professional. If you think you may be in danger or are having a medical emergency, contact emergency services immediately. HerLyfe does not monitor users in real time.
3.5 Some features may display safety warnings, require acknowledgements, or block certain content. These are product safeguards only. They do not create a doctor-patient relationship, a clinical-care relationship, or an emergency-monitoring service.
3.6 Free and paid features are described in the app or storefront at the time you sign up or subscribe. Safety features, data export, and account deletion are not paywalled.
4. Subscriptions and Billing
4.1 Some features require a paid, auto-renewing subscription (HerLyfe Plus).
4.2 Prices, billing period, taxes, and included features shown before purchase form part of your contract.
4.3 Unless we clearly say otherwise before purchase, HerLyfe Plus is billed and managed through Apple or Google, depending on your platform.
4.4 Your subscription renews automatically at the end of each billing period unless you cancel before renewal.
4.5 You can manage or cancel your subscription through your Apple or Google account settings and through any other cancellation method we make available.
4.6 Unless applicable law, platform rules, or our stated refund policy say otherwise, cancellation takes effect at the end of the current billing period and you keep access until then.
4.7 We do not provide partial-period refunds unless required by law, platform rules, or our stated refund policy.
4.8 If we offer a free trial or promotional period, the key terms of that offer will be shown before you sign up. Unless clearly stated otherwise, the subscription will convert to a paid subscription at the then-current price unless you cancel in time.
4.9 If you are a consumer, you may have a legal right to cancel in some circumstances. Where digital content or services are supplied immediately at your request and you expressly acknowledge that this may reduce or end that right, the law may allow that consequence.
4.10 For subscriptions billed by Apple or Google, cancellation and many refund requests are handled by that platform. Nothing in these Terms limits any statutory rights or remedies you may have against HerLyfe.
4.11 If your subscription ends, future access to Plus-only features may stop, but you keep access to your existing data and your export and deletion rights. Any active experiment may continue to completion, subject to the app’s current functionality.
4.12 Deleting your account does not automatically cancel a subscription billed by Apple or Google. You must cancel that subscription separately.
4.13 We may change subscription prices or what is included for future billing periods. If we do, we or the relevant platform will give you reasonable notice before the change applies to your next renewal. If you do not agree, you can cancel before the change takes effect.
5. Privacy and Data
5.1 Our Privacy Policy explains what personal data we collect, how we use it, who we share it with, how long we keep it, and your rights.
5.2 Data you enter into the Service may include special category personal data, including health-related information. We process that data in accordance with applicable law and our Privacy Policy.
5.3 We do not sell your personal data.
5.4 We may use service providers and anonymous or aggregated information that does not identify you to operate, secure, analyse, and improve the Service, as described in our Privacy Policy.
6. Your Content and Acceptable Use
6.1 You may submit content to the Service, such as notes, experiment names, and descriptions.
6.2 You keep ownership of your content. You give HerLyfe a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, and display your content as reasonably necessary to provide, maintain, secure, support, and improve the Service and as described in the Privacy Policy. This licence ends when the content or your account is deleted, except for limited backups and records we keep where legally required.
6.3 You confirm that you have the rights needed to submit your content and that your content and use of the Service will not break the law or anyone else’s rights.
6.4 You must not:
(a) use the Service for anyone other than yourself, or for any commercial, research, clinical, or professional use without our written permission;
(b) use the Service to give medical advice or directions to other people;
(c) bypass safety warnings, restrictions, or gating;
(d) reverse engineer, decompile, scrape, copy, distribute, sell, licence, or create derivative works from the Service, except where applicable law does not allow us to restrict this;
(e) use bots, spiders, or automated means to access or extract data from the Service except through interfaces we expressly provide;
(f) upload unlawful, defamatory, abusive, harassing, discriminatory, infringing, or malicious content;
(g) upload third-party personal data without a valid legal basis;
(h) interfere with the Service, introduce malware, or gain or try to gain unauthorised access to any account, system, or data; or
(i) use the Service in a fraudulent, misleading, or illegal way.
6.5 We may remove content, suspend access, or take other reasonable steps if we believe content or behaviour breaches these Terms or creates legal, security, or safety risk.
6.6 If we add community or sharing features, extra feature-specific rules may apply.
7. Intellectual Property and Feedback
7.1 All intellectual property rights in the Service, including the software, design, templates, branding, and content made available by us, belong to HerLyfe or our licensors.
7.2 Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial use.
7.3 If you send us feedback, suggestions, or ideas, we may use them without restriction or payment to you.
8. Availability, Changes, and Notices
8.1 We may change, suspend, or discontinue any part of the Service where reasonably necessary to:
(a) improve, update, or maintain the Service;
(b) fix bugs or deal with security, fraud, abuse, or technical issues;
(c) comply with law or regulatory requirements; or
(d) reflect changes to devices, operating systems, app-store requirements, or third-party services.
8.2 We will not materially reduce the core paid features of an active prepaid subscription during its current paid term unless the change is required for law, security, abuse prevention, or reasons outside our reasonable control. If the law requires a remedy for such a change, we will provide it.
8.3 We may release features in beta, trial, or experimental form. Those features may be changed or withdrawn at any time.
8.4 We may send you notices in-app, by email, or by other reasonable means.
8.5 We may update these Terms where reasonably necessary to reflect changes to the Service, applicable law, or the matters listed in clause 8.1. For material changes, we will give reasonable advance notice, normally at least 30 days unless a shorter period is needed for law, security, or fraud prevention.
8.6 Where a change materially reduces your rights or materially increases your obligations, we will take any additional steps required by law, which may include asking for your express acceptance before the change applies.
8.7 Continued use of the Service after updated Terms take effect means you accept them. If you do not agree, you must stop using the Service and cancel or delete your account as applicable.
9. Consumer Rights, Disclaimers, and Liability
9.1 Nothing in these Terms excludes or limits any right or remedy you have under applicable law, including under the Consumer Rights Act 2015.
9.2 Subject to clause 9.1, the Service is provided on an “as available” basis. We do not promise that it will always be uninterrupted, error-free, or available on every device or operating system, or that it will achieve any particular health, wellness, or personal outcome.
9.3 You use the Service at your own discretion and remain responsible for decisions you make based on it. The Service is not a substitute for professional medical advice or emergency care.
9.4 Subject to clause 9.1, we are not liable for:
(a) losses that were not reasonably foreseeable;
(b) indirect or consequential loss; or
(c) any loss of business, profit, revenue, contracts, opportunity, anticipated savings, or goodwill.
9.5 We do not exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, damage to your device or other digital content where the law gives you that remedy, rights under data protection law to the extent they cannot be limited, or any other liability that cannot lawfully be excluded or limited.
9.6 Subject to clauses 9.1 and 9.5, our total liability arising out of or in connection with the Service or these Terms will not exceed the greater of:
(a) the total amount you paid for HerLyfe Plus in the 12 months before the event giving rise to the claim; and
(b) £100.
10. Export, Deletion, Suspension, and Termination
10.1 You can export a copy of your data using the tools we make available in the app. Export is not paywalled.
10.2 You can delete your account using the tools we make available in the app. Account deletion is not paywalled. We also provide a public deletion request page at /delete-account if you cannot sign in or need to request deletion from the web.
10.3 Deletion may take a short time to complete across our systems and service providers. We may retain limited information where required by law, for legitimate security or fraud-prevention reasons, or in temporary backups, as described in our Privacy Policy.
10.4 You are responsible for checking and safeguarding any exported copies of your data and for any onward sharing by you.
10.5 We may suspend or terminate your access immediately if you materially breach these Terms, we reasonably believe your use creates legal, security, safety, or fraud risk, or we are required to do so by law or a platform provider. Where practical, we will notify you.
10.6 You may stop using the Service at any time and may delete your account at any time.
10.7 On termination, your right to use the Service ends, but clauses that by their nature should continue will continue, including clauses 5, 6.2, 7, 9, 10.3, 11, 12, and 13.
11. Complaints, ADR, Law, and Jurisdiction
11.1 If you have a complaint, please contact support@herlyfe.com first and we will try to resolve it.
11.2 If we cannot resolve a complaint through our internal complaints process, we will tell you on a durable medium that we cannot settle it, give you the name and website of an ADR provider that could deal with the complaint, and say whether we are obliged or prepared to use it.
11.3 These Terms and any non-contractual disputes or claims arising out of them are governed by the laws of England and Wales.
11.4 The courts of England and Wales have non-exclusive jurisdiction. Nothing in these Terms deprives you of any mandatory right to bring proceedings in the courts available to you under applicable consumer law.
12. General
12.1 These Terms, the Privacy Policy, any feature-specific rules or guidelines we clearly state apply, and any pre-contract information that applicable law says forms part of the contract are the entire agreement between you and us about the Service.
12.2 If any provision is found unenforceable, the rest of these Terms will remain in effect.
12.3 If we delay or fail to enforce any provision, that does not waive our right to enforce it later.
12.4 We may transfer our rights and obligations under these Terms as part of a merger, acquisition, reorganisation, or sale of business or assets. If we do, we will ensure the transfer does not reduce your rights under these Terms. You may not transfer your rights or obligations without our written consent.
12.5 Except as set out in clause 13.8, nobody else has any right to enforce these Terms.
12.6 Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and HerLyfe.
12.7 We are not responsible for delay or failure caused by events outside our reasonable control.
13. Apple App Store Additional Terms
13.1 This clause 13 applies if you use the iOS app. The licence granted by these Terms is between you and HerLyfe only, not with Apple. Apple is not responsible for the app or its content.
13.2 Your iOS licence is limited to a non-transferable right to use the app on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and applicable Usage Rules, including Family Sharing and volume-purchase rights where applicable.
13.3 HerLyfe, not Apple, is responsible for maintenance and support for the iOS app. Apple has no obligation to provide maintenance or support for the iOS app.
13.4 To the extent any warranty is not effectively disclaimed under these Terms or applicable law, HerLyfe is responsible for that warranty. If the iOS app fails to conform to any applicable warranty, you may notify Apple and Apple may refund any purchase price paid for the iOS app itself. To the maximum extent permitted by law, Apple has no other warranty obligation in relation to the iOS app.
13.5 HerLyfe, not Apple, is responsible for addressing any claims by you or any third party relating to the iOS app or your possession and use of it, including product liability claims, claims that the iOS app fails to conform to legal or regulatory requirements, and claims under consumer protection, privacy, or similar laws.
13.6 If a third party claims that the iOS app or your possession and use of it infringes that third party’s intellectual property rights, HerLyfe, not Apple, will be responsible for the investigation, defence, settlement, and discharge of that claim to the extent required by applicable law.
13.7 You represent and warrant that you are not located in a country subject to a U.S. Government embargo and are not on any U.S. Government list of prohibited or restricted parties.
13.8 Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS app and may enforce them against you.
13.9 You must comply with applicable third-party terms when using the Service, including the terms of your device provider, mobile network, and the relevant app store.
