1. Introduction and Acceptance

1.1 These Terms and Conditions (“Terms”) govern your access to and use of the HerLyfe mobile application (bundle ID: com.herlyfe.app) on iOS and Android, together with any associated subscription services, data export features, and linked legal pages (collectively, the “Service”).

1.2 The Service is operated by HerLyfe Ltd, a company incorporated in England and Wales (company number 16811057), whose registered address is First Floor Swan Building, 20 Swan Street, Manchester, England, M4 5JW.

1.3 By creating an account, tapping an acceptance button during onboarding, or continuing to use the Service after being notified of updated Terms, you agree to be bound by these Terms and our Privacy Policy (available at Me → Privacy within the app). If you do not agree, you must stop using the Service.

1.4 Age requirement. The Service is intended solely for persons aged 18 and over. By accepting these Terms, you confirm you are at least 18 years old and have the legal capacity to enter a binding contract under English law. If we become aware that a user is under 18, we will close that account and delete the associated data in accordance with our Privacy Policy.

1.5 These Terms are read together with our Privacy Policy. Where these Terms and the Privacy Policy conflict on a privacy matter, the Privacy Policy takes precedence.

1.6 Your use of the Service is also subject to the terms and conditions of the platform through which you downloaded the app (Apple App Store or Google Play). Those platform terms govern your relationship with Apple or Google and are separate from these Terms.

2. Description of the Service

2.1 HerLyfe is a wellness self-experimentation mobile application. It enables you to create and run personal “Experiments” (structured self-observations of low-risk lifestyle changes), log daily “Check-ins”, and view personal “Clarity” summaries of your observations over time.

2.2 What the Service is not — please read this carefully.

HerLyfe is not a medical device, clinical tool, diagnostic service, or treatment platform. Nothing in the Service constitutes or should be understood as:

  • medical advice of any kind;
  • a diagnosis of any condition or symptom;
  • a prognosis, clinical outcome, or health prediction;
  • a treatment recommendation or prescription;
  • a substitute for consultation with a qualified healthcare professional.

“Clarity” levels are personal observational summaries of your self-logged data only. They do not indicate clinical significance and have not been reviewed or endorsed by any medical body, regulator, or clinician.

If you have any health concern, you must seek appropriate professional medical advice. Do not delay seeking professional medical attention because of anything you see in this app.

2.3 Safety tiers. Experiment templates are grouped into risk tiers based on potential suitability:

  • Gentle (Green): Low-risk lifestyle habits available to all eligible users with standard safety messaging.
  • Extra care (Amber): Habits that may not be suitable for everyone (for example, some supplement protocols or dietary changes). These require an in-app acknowledgement before starting and include guidance on who should check with a clinician first.
  • Guided (Red): Content that falls outside what HerLyfe can safely support — including anything touching medication dosing, hormone treatment, or clinical intervention. This content is blocked in the current version of the Service.

2.4 Emergency signposting. Where your check-in responses suggest you may need urgent support, the Service may display emergency contact information (UK: 999; other jurisdictions: local emergency numbers) and encourage you to seek immediate help. This is a signpost only. HerLyfe does not provide emergency medical services and does not monitor users in real time. If you are in immediate danger or experiencing a medical emergency, contact the relevant emergency services directly.

2.5 The Service is available in a Free tier and a paid HerLyfe Plus subscription tier, as described in Section 5.

2.6 HerLyfe may add, modify, or withdraw features at any time with reasonable notice. Features described as in development or “coming soon” are not committed service deliverables until launched.

3. User Accounts and Eligibility

3.1 To use the Service you must create an account using one of the supported authentication methods (Apple ID, Google, or email and password). Authentication is provided via Clerk, a third-party identity provider.

3.2 You must provide accurate, current, and complete information when registering and keep it up to date.

3.3 Your account is personal to you and may not be shared with or transferred to any other person.

3.4 You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us promptly at support@herlyfe.com if you suspect unauthorised access. HerLyfe is not responsible for any loss or damage arising from your failure to maintain credential security.

3.5 You are not eligible to use the Service if you are:

  • under 18 years of age;
  • prohibited from using the Service under any applicable law; or
  • a person whose account has been suspended or terminated by HerLyfe for breach of these Terms.

4. Acceptable Use

4.1 You may use the Service for personal, non-commercial wellness self-observation only.

4.2 You must not:

(a) use the Service to diagnose, treat, prescribe for, or provide medical advice to yourself or any other person;

(b) attempt to circumvent, reverse-engineer, or otherwise undermine the Service’s safety tier gating (Green / Amber / Red);

(c) enter deliberately false or misleading check-in data with the intention of generating misleading summaries for sharing with healthcare professionals or others;

(d) reverse-engineer, decompile, copy, or create derivative works of the app or any of its content;

(e) use the Service to upload, transmit, or distribute any content that is unlawful, defamatory, abusive, discriminatory, or that infringes any third party’s intellectual property or privacy rights;

(f) use the Service in any way that violates applicable law or regulation;

(g) introduce malicious code or attempt to disrupt, damage, or gain unauthorised access to any system underlying the Service; or

(h) use the Service for any commercial purpose, including reselling or sublicensing access.

4.3 User-generated content. You may enter free-text notes and experiment descriptions into the Service. You retain ownership of your own content. By entering content, you grant HerLyfe a worldwide, royalty-free, non-exclusive licence to store, process, and display that content solely for the purpose of providing and improving the Service. This licence ends when you delete that content or your account. You must not enter content that:

  • is defamatory, abusive, unlawful, or harassing;
  • contains personal data of third parties without their consent; or
  • constitutes or solicits medical advice to others.

4.4 Community features (when available). If community features are introduced that allow sharing of anonymised result summaries, supplementary Community Guidelines will apply and will be incorporated into these Terms by update (with notice under Section 12). Community features will, at minimum, prohibit: medical directives (for example, “this cures X” or “stop your medication”), content encouraging dangerous restriction, and any identifying information about individuals.

5. Subscriptions and Billing

5.1 Free tier. The Service is available at no charge with the following limitations at the date of these Terms:

  • One active Experiment at a time; maximum 14-day duration; Simple tracking style only.
  • Completed Experiment history limited to 3 entries in-app.
  • Basic Clarity results (extended result depth not available).

The following features are always available on the Free tier and are never paywalled:

  • All safety features, safety gating, and emergency signposting.
  • Data export (all formats).
  • Account deletion and full data removal.

5.2 HerLyfe Plus. A paid subscription (“HerLyfe Plus”) unlocks:

  • Additional Experiment styles (Fairer comparison; Most reliable) and durations beyond 14 days.
  • Full Clarity result depth and unrestricted completed-Experiment history.
  • Advanced Experiment workflows including Collection runs.
  • Additional features as added to the Plus tier from time to time with advance notice.

5.3 Pricing. At the date of these Terms:

  • Monthly plan: £7.99 per month (auto-renewing).
  • Annual plan: £59.99 per year (auto-renewing).

Prices are shown inclusive of applicable VAT. We reserve the right to change prices. Price increases will be notified at least 30 days before the next renewal date, giving you time to cancel before the change takes effect. See clause 5.6 for how to cancel.

5.4 Auto-renewal — important. HerLyfe Plus is an auto-renewing subscription. Your subscription will automatically renew at the end of each billing period (monthly or annual) at the then-current price unless you cancel before the renewal date.

  • iOS users: Your subscription is managed and billed entirely by Apple via the App Store. HerLyfe does not hold or process your payment card details. To cancel or manage your subscription, go to your Apple ID Account Settings or the App Store app. Refund requests must be directed to Apple.
  • Android users: Your subscription is managed and billed entirely by Google via Google Play. HerLyfe does not hold or process your payment card details. To cancel or manage your subscription, go to your Google Play account settings. Refund requests must be directed to Google.

HerLyfe has no ability to issue refunds for charges already processed by Apple or Google.

5.5 Free trials. If a free trial period is offered in the future, the following information will be clearly disclosed before any charge: the trial duration, what is included, the price that will apply after the trial ends, and how to cancel before being charged. You will not be charged at the end of a trial period unless you are given this information in advance.

5.6 Cancellation. You may cancel your HerLyfe Plus subscription at any time through the App Store (iOS) or Google Play (Android). Cancellation takes effect at the end of the current billing period. You retain access to Plus features until the end of the paid period for which you have already paid. We do not pro-rate refunds for the unused portion of a billing period, except where required by applicable law.

5.7 After cancellation or downgrade. If your subscription lapses or is cancelled:

  • Any active Experiment continues to completion.
  • Your data, history, export, and deletion rights remain unaffected.
  • Plus-only features in Experiment setup will be gated for new Experiments.
  • We will never retroactively remove access to data you have already generated.

5.8 Your statutory rights as a consumer. The digital content provided under these Terms is subject to the Consumer Rights Act 2015. We warrant that it is of satisfactory quality, fit for purpose as a wellness self-experimentation tool, and as described in these Terms and the app. These statutory rights are in addition to any other rights set out in these Terms and cannot be excluded.

6. Health Data and Privacy

6.1 The Service collects and processes health-adjacent personal data, including your Experiment and Check-in logs, freeform notes, cycle and life-stage context, and safety interaction records.

6.2 This data is not clinical health data processed for medical purposes. Because it is sensitive in nature, we handle it with a standard of care equivalent to special category data under the UK GDPR.

6.3 We do not sell your personal data. No advertising network SDKs are integrated into the Service.

6.4 You may opt out of product analytics (PostHog) at any time via Me → Privacy within the app.

6.5 Where a Check-in or safety prompt surfaces a safety response (for example, acknowledging an Amber gate, or triggering an Emergency signpost), that event is processed solely to provide the safety feature. Your responses to safety prompts are not stored or disclosed beyond what is necessary to deliver that feature.

6.6 The full details of what data we collect, how we use it, who we share it with, how long we retain it, your rights, and how to exercise those rights are set out in our Privacy Policy. Please read it carefully. In any conflict between these Terms and the Privacy Policy on a privacy matter, the Privacy Policy prevails.

6.7 Our data processors include: Clerk (authentication), Convex (backend infrastructure), RevenueCat (subscription entitlements), PostHog (product analytics, subject to your opt-out), Sentry (crash and error monitoring), Apple APNs, and Google FCM (push notifications).

7. Intellectual Property

7.1 All intellectual property rights in the Service — including the software, design, Experiment templates, content, branding, and trademarks — are owned by or licensed to HerLyfe Ltd. Nothing in these Terms transfers any intellectual property rights to you.

7.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal wellness self-observation purposes only.

7.3 You retain ownership of the content you create in the Service (notes, Experiment descriptions). The licence you grant us under clause 4.3 to process that content for service delivery purposes ends when you delete the content or your account.

7.4 If you submit feedback or suggestions about the Service, we may use them without any obligation to you and without compensation.

8. Disclaimers and Limitation of Liability

8.1 Not medical advice (this is important). The Service is a personal wellness observation tool. HerLyfe expressly disclaims any representation that anything in the Service — including Clarity levels, next-step suggestions, evidence snapshots, safety messaging, or Experiment prompts — constitutes:

  • medical advice, diagnosis, prognosis, or treatment recommendation;
  • a clinically validated outcome;
  • a substitute for professional medical assessment; or
  • content reviewed or approved by any medical body or regulator.

You should never disregard, delay, or substitute professional medical advice because of anything you see in the Service.

8.2 Not a regulated medical device. HerLyfe is not a regulated medical device under the UK Medical Devices Regulations 2002 (as amended) or equivalent regulation and is not regulated by the MHRA. The Service does not claim to diagnose, treat, monitor, or predict any medical condition.

8.3 Service provided as-is. Subject to clause 8.5, the Service is provided on an “as is” and “as available” basis. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific expectations.

8.4 Limitation of liability. Subject to clause 8.5:

(a) Our aggregate liability to you for any claim arising from or in connection with these Terms or use of the Service shall not exceed the total HerLyfe Plus subscription fees paid by you in the 12 months immediately before the event giving rise to the claim (or £50 if no fees have been paid).

(b) We shall not be liable for: indirect or consequential loss; loss of data (beyond what is required by applicable law); loss of earnings or profit; or any harm arising from your reliance on anything in the Service as medical or clinical guidance.

(c) We shall not be liable for any decisions you make regarding your health or wellness based on content in the Service.

8.5 Statutory rights preserved. Nothing in these Terms excludes or limits:

  • liability for death or personal injury caused by our negligence;
  • liability for fraud or fraudulent misrepresentation;
  • your statutory rights as a consumer under the Consumer Rights Act 2015, the Digital Markets, Competition and Consumers Act 2024, or any other applicable consumer protection law that cannot be excluded; or
  • any other liability that cannot be excluded or limited by English law.

8.6 Safety features are product guardrails, not clinical care. The safety tier system, emergency number signposting, and triage routing are product-level features designed to complement professional care. Their presence in the app does not create a clinical or medical duty of care on the part of HerLyfe, and does not replace the judgement of a qualified healthcare professional.

9. Data Export, Portability and Deletion

9.1 Export. You may export your data at any time in Shareable Summary (PDF) or Personal Log (CSV) formats via Me → Privacy → Export. Export is never paywalled.

9.2 Account deletion. You may delete your account and all associated data at any time via Me → Privacy → Delete. Deletion triggers a data cleanup workflow; some tasks are queued and may take a short period to complete in full. Account deletion is never paywalled.

9.3 Data portability. Under the UK GDPR, you have the right to receive a portable copy of your personal data in a machine-readable format. Requests should be sent to oliver@herlyfe.com. Full details are in our Privacy Policy.

9.4 Subscription on deletion. Deleting your account does not automatically cancel a subscription managed through the App Store or Google Play. You must cancel your subscription separately through the relevant platform (see clause 5.6).

9.5 Post-deletion retention. Following account deletion, we retain only data we are legally required to keep (for example, financial records for tax purposes where applicable). Retention periods are set out in the Privacy Policy.

10. Suspension and Termination

10.1 Termination by HerLyfe. We may suspend or terminate your account with immediate effect where you have materially breached these Terms (including any conduct prohibited under Section 4), where required by law or a regulatory authority, or where necessary to protect the security or integrity of the Service or other users. Where reasonably practicable, we will give you prior notice. Where immediate action is necessary (for example, a security threat), we will notify you as soon as possible afterwards.

10.2 Termination by you. You may close your account at any time using the in-app deletion flow (Section 9) or by contacting support@herlyfe.com.

10.3 Effect of termination. On termination, your access to the Service ceases and we will handle your data as set out in the Privacy Policy. Subscription fees already processed by Apple or Google are not refundable by HerLyfe.

10.4 Survival. Sections 7, 8, 10.4, and 11 survive termination of these Terms, together with any accrued rights.

11. Governing Law and Disputes

11.1 Informal resolution. Before commencing formal legal proceedings, please contact us at support@herlyfe.com. We will use reasonable efforts to resolve your complaint within 14 working days.

11.2 Alternative dispute resolution. HerLyfe is not currently a member of an approved Alternative Dispute Resolution (ADR) scheme. We will update these Terms if we join such a scheme and are required to do so under applicable law.

11.3 Governing law. These Terms and any dispute arising from them are governed by the laws of England and Wales.

11.4 Jurisdiction. The courts of England and Wales have non-exclusive jurisdiction over any dispute arising from these Terms. If you are a consumer resident in another UK jurisdiction, you may also bring proceedings before the courts of that jurisdiction.

11.5 Nothing in this section affects your statutory right as a consumer to bring proceedings in your local courts or to rely on the consumer protection laws of the jurisdiction where you are domiciled.

12. Changes to These Terms

12.1 We may update these Terms from time to time. We will notify you of material changes by in-app notice (requiring acknowledgement at next app open) or by email to the address on your account, at least 30 days before the change takes effect.

12.2 Your continued use of the Service after the stated effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with the updated Terms, you should stop using the Service and delete your account.

12.3 For subscription billing changes that would increase your price or materially reduce what is included, we will notify you before your next renewal date, giving you time to cancel before being charged on the new terms.

13. General

13.1 Entire agreement. These Terms, together with the Privacy Policy and any supplementary guidelines published within the app, constitute the entire agreement between you and HerLyfe Ltd in respect of your use of the Service.

13.2 Severability. If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions continue in full force and effect.

13.3 No waiver. Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.

13.4 Assignment. We may assign these Terms or our rights under them to any successor entity (for example, following a merger or acquisition), provided we notify you and the successor is bound by the same obligations. You may not assign your rights or obligations under these Terms.

13.5 Third-party rights. Nothing in these Terms confers any right on a third party to enforce any of its terms under the Contracts (Rights of Third Parties) Act 1999, except as expressly stated.

13.6 No partnership. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and HerLyfe Ltd.
